Key Responsibilities:
- Board, Committee & Shareholder Meetings
Manage end-to-end coordination of Board, Committee, AGM and EGM meetings, including agenda preparation, minutes, resolutions, and execution of digital/wet/notarised documents. - Corporate Governance & Compliance
Ensure full compliance with the Companies Act, 2013, applicable rules, corporate laws, and internal policies, acting as the primary custodian of corporate governance for the India entity. - Statutory Filings & Regulatory Reporting
Oversee timely preparation and filing of statutory returns, financial results, and regulatory forms with ROC, RBI, and other authorities as applicable (quarterly, half-yearly, and annual). - Corporate Documentation & Secretarial Records
Draft and maintain corporate resolutions, powers of attorney, declarations, attestations, and statutory registers, ensuring accuracy and audit readiness at all times. - Entity Management & Structural Changes
Manage changes to legal entities including director appointments/resignations, registered office changes, PoA registrations, and other corporate actions. - Audit, Stakeholder & Regulator Liaison
Support internal and external audits and act as a key liaison with shareholders, directors, regulators, and internal business teams on all corporate secretarial matters.

You Bring:
- Qualifications
Qualified Lawyer or finance professional with a minimum of 3 years of relevant work experience, along with a Company Secretarial qualification. - Legal & Regulatory Expertise
Strong knowledge and in-depth understanding of the Companies Act, 2013 and related corporate governance principles. - Corporate Secretarial Experience
Prior experience in international corporate administration and/or company secretarial management within a structured corporate environment. - Communication Skills
Excellent command of English with clarity and confidence in both written and verbal communication, including drafting of legal and corporate documentation. - Compliance Mindset & Attention to Detail
Highly detail-oriented with a strong passion for compliance, accuracy, and maintaining high governance standards. - Stakeholder Management & Technical Skills
Ability to build effective working relationships across seniority levels, with strong PC skills and proficiency in MS Word, Excel, and PowerPoint. - Able to work independently, calmly and with minimal supervision.
